Agreement to Terms
By accessing our website or engaging IDM – Your Google Visibility System (“IDM,” “we,” “our,” or “us”), you agree to these Terms & Conditions (“Terms”).
If you do not agree, you may not use our website or services.
1. Services
IDM provides a managed Google visibility system for home-service businesses. Services may include:
Website build and ongoing management
Google Business Profile support and optimization
Review generation tools
Messaging and appointment reminder automation (if enabled)
Lead tracking dashboards and reporting
We may update, modify, improve, or discontinue features at our discretion as part of delivering and maintaining the service.
2. No Guarantee of Results
IDM does not guarantee specific rankings, lead volume, revenue outcomes, review counts, or business growth.
Search engine algorithms, market conditions, competition levels, and platform rules (including Google) are outside our control. You acknowledge that results depend in part on your responsiveness, operations, and service quality.
Services are provided as a structured optimization system — not a guaranteed outcome.
3. Client Responsibilities
Provide accurate and complete business information.
Respond to requests for approvals in a timely manner.
Maintain lawful business practices.
Comply with all applicable advertising, privacy, and messaging laws
Obtain legally required consent before sending texts or emails
Honor customer opt-outs
Note: If your use of the services creates compliance, reputational, or legal risk, IDM may suspend or disable related features immediately.
You are solely responsible for your business operations and customer communications.
4. Billing and Payment
Subscription fees are billed in advance on the agreed billing cycle unless otherwise stated in writing.
Payments are non-refundable and not prorated unless required by law.
Late Payments: If payment is not received when due, IDM may suspend some or all services after notice, or restrict access to dashboards and automation tools.
Automatic Cancellation: If your account becomes 30 days past due, IDM will cancel services effective on the 30th day.
Collections: You are responsible for reasonable collection costs and attorneys’ fees if unpaid balances must be pursued.
5. Term, Renewal, and Termination
Services are provided month-to-month unless otherwise agreed in writing.
Termination by You: You may cancel by providing written notice before your next billing date. Cancellation prevents future billing but does not refund amounts already paid.
Termination by IDM: We may suspend or terminate services for non-payment, legal or compliance risk, abuse of the system, or violations of these Terms.
No Partial Refunds: No refunds are provided for partial billing periods.
6. Ownership and Access (Important)
Google Business Profile
You retain ownership of your Google Business Profile and its content. Upon termination, you keep your profile. IDM will remove its access upon request or during offboarding, subject to Google’s controls.
Website and System Assets
Unless otherwise agreed in writing, Websites, templates, system configurations, automations, dashboards, workflows, tracking structures, and related intellectual property created as part of the subscription are provided as a service, these assets remain the property of IDM.
Upon termination (including cancellation for non-payment), website hosting and updates, System access and automations may be disabled IDM is not obligated to transfer website files, system configurations, or proprietary materials
No ownership transfer occurs unless explicitly stated in a separate written agreement.
7. Messaging Compliance
If you enable SMS or email automation, you represent and warrant that you have obtained all legally required consent and comply with applicable laws, including honoring opt-outs.
You agree to indemnify, defend, and hold harmless IDM from any claims, damages, fines, penalties, or legal costs arising from:
Failure to obtain required consent
Violations of messaging or privacy laws
Your customer communications
8. Third-Party Platforms
IDM is not responsible for:
Google algorithm updates
Platform suspensions or restrictions
Third-party outages
Policy changes made by Google or other vendors
Your use of third-party platforms is subject to their respective terms.
9. Disclaimer of Warranties
Services are provided “as is” and “as available.”
To the maximum extent permitted by law, IDM disclaims all warranties, express or implied, including:
Merchantability
Fitness for a particular purpose
Non-infringement
Continuous or error-free service
10. Limitation of Liability
To the maximum extent permitted by law: IDM will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business interruption.
IDM’s total liability for any claim shall not exceed the amount you paid IDM in the 30 days prior to the event giving rise to the claim.
11. Force Majeure
IDM is not liable for delays or failure to perform resulting from events beyond our reasonable control, including but not limited to platform outages, natural disasters, acts of government, internet failures, or third-party service disruptions.
12. Governing Law and Venue
These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.
Any dispute shall be brought exclusively in the state or federal courts located in Arizona, and the parties consent to personal jurisdiction there.
13. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
14. Entire Agreement
These Terms constitute the entire agreement between you and IDM regarding the services and supersede any prior agreements or understandings.
15. Changes to These Terms
We may update these Terms from time to time. Continued use of our services after updates constitutes acceptance of the revised Terms.
